GATE — a digital platform for short-term corporate notes.
Gate Capital LTD, company number 1234567 (hereafter “Gate”), raises dollar-denominated capital from crypto-market investors by issuing debt notes. The investor is the creditor and Gate is the borrower. The note records the amount, term, and Gate’s obligation to return the provided capital with an agreed premium.

Digital Asset Arbitrage.
Gate specializes in digital asset arbitrage, primarily focusing on cryptocurrencies.
The price of the same asset can differ across various exchanges. Gate identifies such situations: it buys an asset where it is cheaper and simultaneously sells it where it is more expensive.
If the price difference exceeds fees and other expenses, the company makes a profit. Each trade is limited in size, so Gate does not allocate its entire capital to one operation. Profit from each individual trade is not guaranteed beforehand.
Inter-exchange Arbitrage
Simultaneous work with the price difference of one asset on multiple platforms after accounting for all expenses.
Arbitrage operations. Gate uses capital only when it finds a suitable price difference and sufficient volume for the trade.

Why not a permanent large credit. A large long-term credit would have to be serviced even when part of the funds are not needed for work. With short-term issuances, Gate only borrows the necessary amount and for the required period.
Why Gate uses short-term capital.
In digital asset arbitrage, the need for capital depends on the available volume of price discrepancies. This volume changes from week to week, so Gate does not raise one large sum for a long term but rather capital for a specific working period.
- Calculate the Need. Before issuing, Gate evaluates how much capital can be utilized in available operations considering fees, liquidity, and risk of execution.
- Limited Series Issuance. Notes are issued within the calculated budget. When the required amount is collected, the series issuance is closed.
- Reduce or Skip Issue. If there are insufficient suitable operations or market conditions are unfavorable, Gate may reduce the volume of a new series or not issue it at all.
Check the evidence, not the promises.

How the purchase and redemption of notes work.
Each note is purchased through a smart contract. You choose a note and confirm the USDT transfer in your wallet. The contract accepts the funds and records the note on the blockchain. When the payment date arrives, you click “Get Payment” and confirm the operation in the same wallet, then sign the note creation transaction. Transactions take place on BNB Smart Chain with USDT using the BEP-20 standard.

Inflow of funds into Gate’s LP position, withdrawal for company operations, return before redemptions, and transfers to published addresses.
Payment request, transfer amount, recipient address, and separate redemption transaction.
Purchase of debt notes and capital transfer
After note creation, the contract adds the purchase amount to Gate’s LP position in the PancakeSwap public pool. Then Gate withdraws these funds for arbitrage operations.

Redemption of debt notes and investor funds withdrawal
Before redemptions, Gate returns to its LP position on PancakeSwap the liquidity volume sufficient for daily note repayments. When an investor clicks claim, the smart contract uses the required part of the position and transfers the due USDT to the investor’s wallet. The network fee is paid in BNB.

When the payment is due, the investor’s wallet signs the claim transaction. The network fee is paid in BNB.
-
03 · Funds withdrawal
Investor receives payment
The contract checks the owner and note conditions, uses the required liquidity from Gate’s LP position, and transfers digital dollars to the investor’s wallet. For a weekly note, this is the nominal amount plus premium; for 3M and 6M notes, it is another amortization payment.
Important. The smart contract for the note does not arbitrate. The Gate LP position works in both directions: it accepts funds when buying notes and returns the necessary amount before payouts. The company uses funds from the position in its business, and after a payout request, the contract transfers money to the investor.

Gate notes are not bank deposits.
Crypto arbitrage can be highly profitable but is associated with increased risk. Gate notes are private debt obligations of Gate Capital LTD and do not participate in the state deposit insurance system.
The payment depends on Gate’s ability to fulfill its obligations.
An advance premium does not guarantee the result. There is a risk of delay, partial fulfillment, partial or full loss of funds. Before purchasing, review the terms of the series, redemption order, and full list of risks.
Reserve for unforeseen losses
Gate plans to allocate 5% of net operating profit to the reserve. These funds may help in a difficult situation. The reserve is not insurance and does not guarantee payment.

Liquidity for upcoming payments.
Current liquidity for repayments — $345,000. Volume of upcoming obligations under the payment schedule — $287,000. This metric is calculated as the available liquidity of Gate’s LP position divided by the volume of upcoming repayments under the current schedule.

Verify on BlockchainWhen Gate ends new note issuance.
Gate does not plan to constantly rely on borrowed capital. Short-term corporate notes help the company build working capital up to a level sufficient for operations with its own capital.
(approximately 2030–2031)
This is a guideline, not an exact date. The timeline may change — it depends on the company’s results and how quickly Gate accumulates its own capital.
01 Growth in Working Capital. Gate issues only the amount of notes that the company can truly utilize in operations.
02 Reduction in Need for New Issuances. As the company accumulates its own capital, weekly limits may gradually decrease.
03 Announcement of Final Issues. About three months before completion, Gate publishes a calendar of final issues and the date for ceasing new placements.
04 Total Fulfillment of Obligations. All previously issued notes maintain their terms and are redeemed on specified dates.
After the final issue. Gate continues operations with its own capital. Public registry, redemption history, and reports remain accessible.

Each note is a verifiable blockchain record.
Every purchase and redemption of notes takes place on the BNB Smart Chain. The smart contract records the owner, nominal amount, term, and payment conditions. This record is stored in the blockchain, so it can be independently verified outside Gate’s cabinet.
A wallet is needed to sign this operation and bind the note to your public address. It can be a personal Web3 wallet or GATE Wallet created after email registration.
- Each purchase gets its own blockchain record
- Note is tied to the owner’s public address
- Terms and redemption can be checked independently of Gate’s cabinet

Questions before buying a note.
Brief answers about the product, Gate’s business, risks, wallets, and transaction checks.
Gate is a digital platform for issuing and accounting corporate debt notes in USD equivalent by Gate Capital LTD.
It is a debt obligation of the company: an investor provides capital to Gate Capital LTD for a selected term, while the company commits to repaying the principal and paying the premium according to the terms of the note.
The issuer and borrower are Gate Capital LTD. The full registration details must match those in the relevant series documentation.
For weekly notes, the conditions provide for repayment of principal and premium at maturity. For 3M and 6M notes, the principal and premium portions are distributed on a daily basis.
Weekly notes have a term of 7 to 49 days with one payment at maturity. The 3M and 6M notes are designed for 90 and 180-day terms, respectively, with daily amortizing payments.
Gate borrows only the amount of capital needed for current deals, and for as long as necessary. If there are fewer suitable opportunities in the market, a new issue can be reduced or skipped.
The company seeks temporary price differences between one digital asset on different platforms or markets, buys low and sells high. The outcome depends on fees, execution speed, liquidity, and market movements.
Each series has a weekly limit and separate limits for each type of note. When the available volume is chosen, new purchases of that type are closed.
Yes. If the company needs less working capital or market conditions do not suit, Gate can decrease the series size or skip a new issue altogether.
No more notes are created, but the terms of already issued notes remain in effect. Gate continues to make redemptions according to schedule, and the registry and transaction history remain accessible.
No. The note is a private debt obligation of Gate Capital LTD. Payment depends on the company’s ability to fulfill its obligations fully and timely.
Yes. In case of adverse events, there may be delays, partial fulfillment, or total loss of provided funds.
No. Gate notes are not bank deposits and do not participate in the state deposit insurance system.
Key risks relate to Gate's operational results, liquidity, digital asset markets, USDT, smart contracts, BNB Smart Chain infrastructure, and potential legal restrictions.
Gate designs a separate reserve that plans to fund with part of the net operating profit. The reserve may mitigate some adverse events but is not insurance and does not guarantee full compensation.
You can connect a compatible external Web3 wallet or register via email and use the Gate Wallet within the platform.
The wallet signs purchase and redemption operations, linking each note to your public address so that records can be verified on the blockchain.
You connect the external wallet yourself. The Gate Wallet is created within the platform after email registration. The only difference is in the login method: in both cases, notes are recorded to your address on the blockchain.
You select a note and confirm purchase in the wallet. The smart contract records the note on the blockchain. When the payment date arrives, you click “Get Payment” and confirm the operation in the same wallet.
Notes can be found in Gate's public registry, while their creation, USDT movement, and redemption can be checked by published addresses and transactions on BNB Smart Chain.
